Introduction

Welcome to Codly. Our service is designed to facilitate the creation of digital products using no-code methods. This enables startups and entrepreneurs to quickly launch prototypes and minimum viable products (MVPs) without the need for technical programming knowledge. By using Codly's Services, you enter into a legal agreement with us and agree to comply with the Terms set out below. If you do not agree with these Terms, you must immediately cease using our Services.

These Terms of Service ("Terms") govern your relationship with the Codly service platform, which includes the website www.codly.com.br and any other linked platforms (collectively, "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any of the terms listed here, do not use our Services.

1. Project Acceptance

Codly is not obligated to accept any project submitted by users. The decision to accept a project is based on internal criteria for viability and strategic alignment. We reserve the right to refuse projects at our sole discretion without the need to provide justification.

2. Minimum Viable Product (MVP)

The services provided by Codly are aimed at creating and delivering a Minimum Viable Product (MVP). The scope and functionalities of the MVP will be determined exclusively by Codly based on technical feasibility and the information provided by the client through the submission form. The delivered MVP may not include all features requested by the client or suggested during the consultation phase.

3. Modifications to Prices

Codly reserves the right to change the prices of the services offered at any time and without prior notice. For customers with recurring services, any price change will be notified at least 30 days in advance. These changes will be effective immediately after posting on our website or upon expiration of the notification period.

4. Platform Migration

Codly may, at any time, migrate the services provided from a third-party platform to a proprietary and exclusive platform. This migration aims to enhance the effectiveness and efficiency of the services provided to our users. Codly commits to informing all affected users prior to any migration, providing relevant details about the process and necessary adjustments.

5. Service Cancellation

Codly may cancel the provision of services to any user at any time, with or without cause, with or without notice, effectively denying the user access to the Services. In the case of cancellation related to the user's non-compliance with these Terms, Codly is not obligated to provide a refund or any compensation.

6. Non-Payment and Access Termination

If payment is not received by the due date, Codly reserves the right to terminate access to the Services within 10 days of the payment due date. Users will be notified of the pending cancellation and given an opportunity to rectify the payment issue within this timeframe to avoid service interruption.

7. Copyrights and Intellectual Property

All content present on the Services, including texts, graphics, logos, icons, images, and data compilations, is the property of Codly or its content suppliers and is protected by the copyright laws of Brazil and international treaties.

8. Limitation of Liability

Codly does not guarantee that the Services will meet your specific needs, that they will be uninterrupted, timely, secure, or error-free. The use of the Services is at your own risk. All information and products are provided "as is" without warranty of any kind.

9. General Provisions

These Terms constitute the entire agreement between you and Codly. The failure of Codly to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. You agree, along with Codly, to submit to the exclusive jurisdiction of the courts of Brazil to resolve any disputes that may arise under these Terms.
